As a result, the invitation to the Extraordinary General Meeting published in the Federal Gazette (Bundesanzeiger) on 21 September 2015 becomes obsolete. The approval of the shareholders at the scheduled General Meeting was a requirement for submitting the voluntary public exchange offer for all outstanding shares of LEG Immobilien AG ("LEG"). Management board and supervisory board came to the conclusion that the 75% -majority required for the capital increase to be resolved at the extraordinary general meeting will not be reached. The planned merger with LEG on the basis of the Business Combination Agreement signed on 20 September 2015 will therefore not be pursued further.
