Dissemination of a Voting Rights Announcement, transmitted by

With reference to their exceeding of 15% of the voting rights in RWE
Aktiengesellschaft, RWEB GmbH & Co. KG, Dortmund, Germany, has informed us
on 26 September 2016 pursuant to sec. 27a German Securities Trading Act
(WpHG) about the following:



1. The restructuring by way of merger of RW

Energie-Beteiligungsgesellschaft mbH & Co. KG with and into RWEB GmbH was
made inter alia to align the shareholding structure with new tax
regulations. RWEB GmbH & Co. KG as well as before RW
Energie-Beteiligungsgesellschaft mbh & Co. KG pursues strategic objectives
with the shareholding in RWE Aktiengesellschaft, Essen, not generating
trading profits.



2. It is generally intended to acquire further voting rights in RWE
Aktiengesellschaft, Essen, within the next twelve months on the level of
RWEB GmbH by means of a purchase or by other means.


3. RWEB GmbH & Co. KG and RWEB GmbH, as well as before RW
Energie-Beteiligungsgesellschaft mbH & Co. KG, aspire to exercise influence
on the appointment or removal of administrative, management or supervisory
bodies of RWE Aktiengesellschaft, Essen.



4. No significant change in the capital structure of RWE Aktiengesellschaft
is intended, in particular as regards the ratio between own funds and
external funds and the previous dividend policy. A decision how RWEB GmbH &
Co. KG will position itself with respect to the recent proposals of the
executive board regarding amendments of the dividend policy cannot yet be
made due to recency.



5. As the shares in RWE Aktiengesellschaft, Essen, were acquired by RWEB
GmbH & Co. KG by way of a contribution in kind, there was no need to use
external funds.
