Pursuant to Article 9(3) of Commission Regulation (EC) No. 2273/2003 implementing the Market Abuse Directive (2003/6/EC), and MAR 2.3.5 (3) of the Financial Services Authority Code of Market Conduct, Goldman Sachs International (contact: Dan Martin; telephone: 0207 774 1000), as stabilisation manager, hereby gives notice that stabilisation was undertaken in relation to the offer of Ocado Group Plc ordinary shares of 2 pence each (ISIN No. GB00B3MBS747), as set out below.
