Notice of Annual General Meeting 2011

Ocado Group plc ("Ocado") has today submitted to the Financial Services Authority's national storage mechanism its notice of annual general meeting 2011 and the proxy form for the annual general meeting (as required by Listing Rule 9.6.3).

The notice of annual general meeting and proxy form for the annual general meeting are available on Ocado's website: www.ocadogroup.com.

These documents will also be available for viewing at the Financial Services Authority's national storage mechanism at www.hemscott.com/nsm.do.

Ocado's annual general meeting will be held on Wednesday 11 May 2011 at 2 p.m., at One Bunhill Row, London EC1Y 8YY.
