Confirmation of Directorate Change

As stated in the prospectus published by Ocado Group plc ("Ocado") on 6 July 2010, Michael Robarts, a non-executive director originally appointed to the board in January 2010 by the John Lewis Partnership Pensions Trust, had agreed to step down from the board shortly after Ocado's admission to listing and trading. Ocado today announces that Michael has retired from the board with immediate effect.

Michael Grade, Chairman of Ocado said:

"On behalf of the board, I would like to thank Michael for his valuable contribution to Ocado during the intense six months of activity preceding our admission to listing. As we had indicated in our prospectus, this decision is part of the process by which Ocado will achieve a board composition that is compliant with the UK Corporate Governance Code."
