Munich, 12th March 2012. Today, the Board of Management of Your Family
Entertainment Aktiengesellschaft, Munich, (SIN 540891; ISIN DE0005408918)
has decided, with the approval of the Supervisory Board, to increase the
company's nominal capital from EUR 8,793,000.00 by up to EUR 869,999.00 to
up to EUR 9,662,999.00 against cash contributions, by using part of the
authorised capital of 2010. The company will issue up to 869,999 new bearer
shares with a pro-rata amount of the nominal capital of EUR 1.- per share.
Accordingly, the capital increase comprises up to approx. 9.89 % of the
company's nominal capital. The issue price of the new shares is EUR 1.20
per share.
The shareholder's statutory subscription right was excluded. WGZ BANK AG
Westdeutsche Genossenschafts-Zentralbank should subscribe and take over the
new shares and will offer them to investors in a private placement. The
company will achieve gross proceeds of up to approx. EUR 1.04 million from
the capital increase. Such issue proceeds will be used to further expand
the company's operative business.
