Heliad Equity Partners GmbH & Co. KGaA (ISIN: DE0006047293 / WKN: 604729) announced that the ordinary capital reduction by a 10 to 1 ratio, i.e. from EUR 70 million to EUR 7 million in share capital, will be executed after the market close on 20 February 2009. The measure was adopted by the extraordinary shareholders' meeting on 16 December 2008 and made effective by entry in the Commercial Register on 2 February 2009.
Heliad shareholders will then receive a new 'converted' no-par value share with a pro rata amount of the share capital of EUR 1.00 (ISIN DE000A0L1NN5) for every 10 no-par value shares with a pro rata amount of the share capital of EUR 1.00 per share (ISIN DE0006047293). The shares with the new ISIN, the reduced share capital and the new share price will be quoted at the start of trading on Monday, 23 February 2009. The measure will accordingly raise the share price by a factor of 10.
If the consolidation should result in fractions, the custodian banks will endeavour to arrive at an accepted pairing for these shares (ISIN DE000A0DRX78) as instructed by their customers. Heliad Equity Partners will bear the costs for the conversion of its shareholders' custodian accounts at an amount of up to EUR 5.00 per converted custodian account.
