The Management of the listed holding company Heliad Equity Partners GmbH &
Co. KGaA ('Heliad') has resolved to convene an Extraordinary General
Meeting on 16 December 2008. The Supervisory Board has just now approved
The following agenda has been scheduled for the meeting:
- Regular share capital reduction at a ratio of 10 to 1
- and corresponding amendments to the articles of association
Details of the agenda are to be published in due time and form in the
invitation to the Extraordinary General Meeting.
The main purpose of the share capital reduction is to create a voluntary
reserve allowing the Company to purchase its own shares or pay a dividend.
The Company’s current retained losses and lacking earnings reserve make
these actions impossible under the accounting provisions of the German
Commercial Code (Handelsgesetzbuch, HGB).
The convening notice for the General Meeting is being submitted to the
electronic German Federal Gazette (Bundesanzeiger) for publication.

Ralf Flore, Chief Executive Officer of Heliad: 'Heliad’s share price is
trading at a significant discount to its Net Asset Value. With the
presently planned measure we create the prerequisite for implementing the
share buyback program already resolved by the Annual General Meeting in
April 2008. A remaining significant discount in value will then enable us
to execute the share buyback program. We consider this process as
fundamentally reasonable under the current market conditions.'
