++ Management at Heliad Equity Partners approves capital increase from
authorised capital
Frankfurt am Main, 14. November 2006
With the approval of the Supervisory Board on the basis of Article 6 of the
Articles of Association, the management at Heliad Equity Partners GmbH &
Co. KGaA (DE0006047293) has just now resolved to increase the share capital
of the company from EUR 67,000,000 excluding the right of subscription of
the limited liability shareholders in line with Article 203 Paragraphs 1
and 2, Article 186 Section 3 (4) of the German Stock Corporation Act by EUR
3,000,000 to EUR 70,000,000. The new shares have full dividend entitlement
for the 2006 financial year.
VEM Aktienbank AG, is authorised to subscribe and will acquire the
3,000,000 new shares at a price of EUR 1.24 per share.
Motivation for capital increase from authorised capital is the high request
to new shares after the international Roadshow, in reference to
Thursdays closed placement of capital increase against cash and the
non-consideration of this request concerning the already closed placement
of the capital increase against cash.
