The management of Heliad Equity Partners GmbH & Co. KGaA had, with the
approval of the Supervisory Board, previously resolved the implementation
of the capital increase against cash contributions passed by the ordinary
general meeting of 19 May 2006.
The subscription period for existing shareholders runs until the end of
today, Tuesday, 7 November 2007. The issue price for shares acquired via
subscription rights is EUR 1.23 per share.
Non-subscribed shares are being offered within in the framework of a public
offering in Germany and a private placement abroad from Monday 6 November
until 12 a.m. on Thursday 9 November with a bookbuilding range of between
EUR 1.23 and EUR 1.28 per share.
The transaction is being supported by VEM Aktienbank AG. Silvia Quandt &
Cie. Capital Markets AG is acting as the company’s adviser. Selling agents
acquired for the placement of non-subscribed include among others Bankhaus
Reuschel and Liechtensteinische Landesbank (Schweiz) AG. Subscription
mandates for non-subscribed shares to be issued within the framework of the
public offering can also be delivered in particular to comdirect, dab Bank,
flatex and WGZ’s agricultural and commercial credit co-operatives.
