Annovis Bio, Inc. Announces Closing of $50 Million Public Offering

Berwyn, Pennsylvania, May 27, 2021 — Annovis Bio, Inc. (NYSE American: ANVS) (“Annovis” or the “Company”), a clinical-stage drug platform company addressing Alzheimer’s disease (AD), Parkinson’s disease (PD) and other neurodegenerative diseases, today announced the closing of its underwritten public offering of 1,000,000 shares of its common stock at a public offering price of $50.00 per share, for gross proceeds of $50,000,000, before deducting underwriting discounts, commissions and offering expenses. All of the shares of common stock are being offered by the Company.

ThinkEquity, a division of Fordham Financial Management, Inc., acted as sole book-running manager for the offering and Maxim Group LLC acted as co-manager for the offering.

The Company will use the net proceeds from the offering primarily for general corporate purposes, including working capital, research and development, capital expenditures and the completion of its planned Phase 3 clinical trial for ANVS401 in AD in persons with Down Syndrome.

The securities were offered and sold pursuant to a shelf registration statement on Form S-3 (File No. 333-252625), including a base prospectus, filed with the U.S. Securities and Exchange Commission (the “SEC”) on February 1, 2021 and declared effective on February 11, 2021.
